Terms of Service
Scope of services
MINACT Logistical Services, LLC ("MINACT") provides logistics, warehousing, material handling, inventory control, parts sequencing, returnables processing, production support, and related workforce services (the "Services") to commercial and industrial customers, as described in an applicable service proposal, estimate, or service agreement.
Proposals, estimates & agreements
Services are provided pursuant to a written service proposal, estimate, or project/service agreement between MINACT and the customer. That agreement, together with these Terms, governs the engagement. Where a conflict exists, the specific service agreement controls.
Payment terms
Unless otherwise stated in a service agreement, Services are invoiced and payable according to the terms in that invoice or agreement. Where applicable, MINACT may require a deposit or milestone-based payments before or during performance of Services.
Customer responsibilities
The customer is responsible for providing accurate information about facility conditions, volumes, materials, and requirements; ensuring safe and lawful access to relevant sites; and promptly communicating changes that affect the scope of Services.
Inventory & materials
Where MINACT handles, stores, or processes customer inventory or materials, the customer is responsible for accurately describing that inventory, including any special handling, storage, or safety requirements. MINACT will handle inventory and materials in accordance with the applicable service agreement and reasonable industry practice.
Changes to scope
Changes to the scope of Services, including changes in volume, staffing, or facility requirements, may affect pricing and timelines and will be addressed through a written change to the applicable proposal or agreement.
Scheduling & operational delays
Logistics, warehousing, and production support operations can be affected by factors outside MINACT's control, including customer facility conditions, transportation delays, and volume changes. MINACT will communicate known delays but is not responsible for delays caused by factors beyond its reasonable control.
Cancellations
Cancellation terms, including any applicable notice periods or fees, will be set out in the relevant service proposal or agreement.
Limitation of liability
To the fullest extent permitted by law, MINACT's liability arising out of or related to the Services is limited to the amount paid by the customer for the specific Services giving rise to the claim. MINACT is not liable for indirect, incidental, or consequential damages.
Governing law
These Terms and any service agreement between MINACT and a customer are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles.
